Where founders get stuck

Missing documents

Passport, power of attorney, apostille, sworn translation: one missing item and the notary date moves.

No idea where things stand

Company name, bank, tax ID: each runs on its own and you have to chase every one.

Taxes start right after

The company files VAT every quarter, and corporate tax and annual accounts every year.

No EU VAT number

Without ROI registration, dealings with EU businesses and platforms are not treated as intra-EU.

How we do it

  1. One complete file

Around twenty applicable steps with owner, documents, legal basis and duration, and the critical path in view.

  2. Per-founder checklist

Passport, NIE, power of attorney, apostille and sworn translation, item by item. China applies the Apostille Convention since 7/11/2023.

  3. Bilingual drafts

Articles, name application, bilingual power of attorney, beneficial ownership, D-1A and Form 036, reviewed by a professional.

  4. Continuity after formation

Tax ID, ROI, digital certificate, bookkeeping and quarterly returns in the same area, in Chinese.

Fees clear from the start

The recommended route is Founder China: a €1,490 setup fee that includes forming your SL, then €690 a month or €6,900 a year (two months free), with the first year at the level of Marketplace Pro. If you only need the formation, with no monthly service: formation, registered address and ROI registration for €2,900 (€2,500 if you provide the address). Either way, notary, registry and other third-party costs are passed on at cost, with no margin. Prices exclude VAT.

Common questions

I live in China. Do I have to travel?

Not necessarily. The power of attorney can be granted at the Spanish consulates in Beijing, Shanghai, Guangzhou or Hong Kong; anything signed before a Chinese notary needs an apostille and a sworn translation.

How much capital do I need?

The legal minimum for an SL is €1; below €3,000 a 20% legal reserve applies and founders are jointly liable on liquidation.

How do I get an NIE?

At the consular office or, in Spain, at a police or immigration office (form EX-15). The fee is €9.84.

Who handles taxes afterwards?

We do, if you wish: with Founder China, the first year covers bookkeeping, quarterly and annual returns and the OSS, with the scope of Marketplace Pro.
